Правове регулювання смарт-контрактів у цивільному праві України: сучасний стан та перспективи розвитку законодавства

Abstract

У статті здійснено комплексне дослідження теоретико-правових і практичних аспектів правового регулювання смарт-контрактів у цивільному праві України в умовах цифрової трансформації приватноправових відносин. Обґрунтовано, що активне впровадження технологій блокчейн, цифрових активів, електронної комерції та автоматизованих механізмів виконання договірних зобов’язань зумовлює необхідність удосконалення національного цивільного законодавства та вироблення єдиного підходу до правового розуміння смарт-контрактів. Досліджено наукові підходи до визначення правової природи смарт-контракту, його співвідношення з традиційними цивільно-правовими договорами та місце у системі цифрових правочинів. Проаналізовано сучасний стан нормативно-правового регулювання смарт-контрактів в Україні та державах Європейського Союзу. Досліджено проблеми правозастосування, що виникають під час використання смарт-контрактів: юридичній силі програмного коду, ідентифікації сторін правочину, визначення моменту укладення та виконання договору, використання електронних доказів, розподілу юридичної відповідальності у разі технічних помилок; особливостям судового захисту прав учасників цифрових правовідносин.

The article presents a comprehensive study of the theoretical, legal, and practical aspects of the legal regulation of smart contracts in the civil law of Ukraine within the context of the digital transformation of private law relations. It is substantiated that the active implementation of blockchain technologies, digital assets, electronic commerce, and automated mechanisms for the performance of contractual obligations necessitates the improvement of national civil legislation and the development of a unified approach to the legal understanding of smart contracts. The study analyzes scholarly approaches to defining the legal nature of smart contracts, their relationship with traditional civil law agreements, and their place within the system of digital legal transactions. It is established that a smart contract should not be regarded as an independent type of contract but rather as a specific technological form of implementing contractual terms through software code that ensures the automated execution of obligations agreed upon by the parties. The current state of the legal regulation of smart contracts in Ukraine and the Member States of the European Union is analyzed. The study emphasizes the formation of a European model for regulating digital legal relations aimed at ensuring legal certainty, technological neutrality, and an adequate level of protection of the rights of participants in civil transactions. ngs of the research, proposals are formulated for improving the civil legislation of Ukraine.
